Belize IBC

 

A Belize International Business Company is a legal entity registered in Belize and is not subject to any taxes in Belize regardless of where the IBC earns its income. One of the many advantages of a Belize IBC is that you can form one quickly and with a minimum of fuss. Many clients use a Belize IBC to maintain Bank accounts, trade securities, hold real estate or to collect royalties and dividends. Belize IBC can be used to act as a underlying company of a trust for the purpose of holding assets or conducting business on behalf of the trust. This level of privacy allows details of the trust's existence and beneficiaries to be withheld from third parties.

 

Formation

 

A Belize International Business Company is formed under the International Business Company Act (now Chapter 270 of the Laws of Belize, Revised Edition 2000) and can be formed within 24 hours provided all the necessary due diligence documentation and a signed Company Order Form has been provided to us.

 

KEY FEATURES

 

The key features of a Belize IBC are set out as follows

 

  1. An IBC must have at least one director and there is no residency requirement. Directors may be corporations or natural persons.
  2. A company secretary can be appointed (natural person or body corporate). There is no requirement for a company secretary.
  3. Can be incorporated in English, Spanish or Chinese
  4. Shareholders can be an individual, company or Trust
  5. Nominee shareholders are allowed
  6. The company must have a local registered agent and office. The name and address of the office and agent are the only details on public record.
  7. There is no minimum paid up capital requirement. Capital may be expressed in a foreign currency.
  8. Belize IBC standard share capital is USD 50,000;
  9. Standard share capital in excess of USD 50,000, may be declared in exchange for a higher annual fee
  10. There are no requirements for an IBC to file details related to shareholders or directors or for the filing of audits or accounting reports
  11. The register of shares has to be kept and up to date;
  12. A Belize IBC is exempted from all taxes;
  13. No meetings are required of directors or members.
  14. Bearer shares are allowed but these must be held in Belize by the local registered agent.
  15. Foreign companies can re-domicile in Belize and vice versa.
  16. Corporate documents may be filed in English, Spanish, or Chinese.
  17. The Belize IBC cannot derive any income from activities in Belize;
  18. The words "Limited", "Corporation", "Incorporated", "Society Anonyme" or "SociedadAnonima" or "Aktiengesellschaft", or abbreviations thereof "Ltd.", "Corp." "Inc." or "S.A." or "A.S." or "A.G." has to be used as a corporate suffix of the Belize Company.

 

Confidentiality

 

The documents submitted to the Registry for Belize IBC Incorporation do not carry the name or identity of any shareholder or director. Furthermore, the names or identities of these persons do not appear in any public record or registry. For additional privacy, client can opt for nominee shareholders.

 

Taxes

 

Belizean IBCs are exempted from any form of income tax, capital gains or exchange controls. In addition, Belize IBC can conduct business in any foreign currency free from Belizean government regulation or restriction.

 

Restrictions

 

An IBC may not:

  1. Carry on business with persons resident in Belize;
  2. Own real estate in Belize, except lease property for office purposes;
  3. Carry on banking or insurance/re-insurance business without a license.
  4. Provide registered agents/offices for companies.

 

KNOW YOUR CLIENT REQUIREMENTS

 

In Belize the law requires that all financial service providers know and determine the identities of their clients. Personal information remains completely confidential and resides with the service provider only. Under the terms and conditions of the Service Provider License, it is mandatory for Service Providers to properly identify clients and beneficial owners of every IBC the form.
For new IBC incorporation, client must submit the following two items:

  1. Original or a certified copy of passport
  2. Proof of address (recent utility bill or similar).
